Terms and Conditions

1. About These Terms

These Terms and Conditions ("Terms") are a contract between you and Oxi Studios (ABN 53 500 673 472) of Australia ("Oxi Studios", "we", "us" or "our"). They apply to oxistudios.com and our related applications, tools, APIs, widgets, subscriptions, credit packs, digital products and services (together, the "Service").

By creating an account, clicking an acceptance or purchase button, or using the Service, you agree to these Terms and acknowledge that you have read our Privacy Policy. If you use the Service for an organisation, you confirm that you have authority to bind it. You must be at least 18 years old to create an account or make a purchase.

2. The Service

Oxi Studios provides AI-assisted image, vector, font and 3D-generation and editing tools; manufacturing-file tools; templates, widgets and API features; digital downloads; subscriptions; credit-based services; and, where offered, model-revision services. Features, supported formats, credit costs, download allowances and technical limits are displayed in the Service and may differ by plan.

AI features may use third-party providers. Results can vary and are not guaranteed to be unique, accurate, error-free or suitable for every purpose.

3. Accounts and Security

You must provide accurate information, keep it current, protect your login credentials and API keys, and promptly notify us of suspected unauthorised access. You are responsible for activity through your account except to the extent it results from our breach of law, negligence or security obligations. Accounts and API keys may not be sold, shared publicly or used to avoid plan limits.

4. Plans, Credits and Payments

4.1 Credit types

  • Free Credits: eligible free accounts reset to 10 Free Credits after each 24-hour reset period, with a maximum Free Credit balance of 10. They do not accumulate above that cap.
  • Membership Credits: Pro currently includes 1,200 credits for each monthly allocation period. The balance is refreshed, not added to the previous Membership Credit balance, so unused Membership Credits do not roll over.
  • Purchased Credits: one-time credit packs are not subscriptions and do not expire while the account remains open, subject to these Terms.

Unless the Service states otherwise, Membership Credits are used before Purchased Credits. Credit costs vary by tool and are shown before or when a task is submitted. Credits have no cash value, cannot be transferred or resold, and may only be used within the Service.

If a paid operation fails because of our system or provider and produces no usable result, we will ordinarily restore the credits charged. This does not limit any remedy available under the Australian Consumer Law.

4.2 Prices and one-time purchases

Prices are in the currency shown at checkout; a price shown only with "$" on the Service is in US dollars unless expressly labelled otherwise. The total price and any applicable tax will be displayed before payment. Payments are processed by Stripe. You authorise Stripe and us to charge the payment method you provide for the selected purchase.

We do not offer refunds merely because you change your mind after purchasing credits or receiving a digital product. However, refunds, replacements, re-supply, credit restoration and other remedies remain available where required by law, including for a major failure or a product or service that does not meet an applicable consumer guarantee.

4.3 Pro subscriptions

Pro is an automatically renewing subscription. The current public plans are US$39 billed monthly or US$299 billed annually. An annual subscription is charged once each year, while its Membership Credits and monthly download allowances refresh each month. The price, billing interval and inclusions shown at checkout form part of your subscription contract.

Unless you cancel before the next renewal date, you authorise Stripe and us to charge the then-current renewal price to your saved payment method. You can cancel through your membership or profile page. Cancellation takes effect at the end of the paid billing period; access continues until then. Except where required by law, cancellation does not produce a partial-period or change-of-mind refund.

Membership Credits and plan allowances end when paid access ends. Purchased Credits remain on the account. We may suspend paid features following a failed payment and may cancel the subscription if payment is not resolved.

4.4 Price and allowance changes

We may change future prices, credit costs, plan inclusions or allowances for legitimate business reasons. Changes do not alter a completed one-time purchase. We will give reasonable advance notice of a material adverse subscription change, and a price change will apply no earlier than your next renewal after that notice. You may cancel before it takes effect.

5. Your Inputs

You retain any rights you have in images, prompts, text, models, files and other material you submit ("Inputs"). You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, modify and process Inputs only as reasonably needed to provide, secure, support and improve the Service, enforce these Terms, comply with law, and allow our service providers to do the same on our behalf. This licence ends when the Input is deleted from our systems, except for temporary backups, legal retention and material incorporated into a result you keep.

You promise that you have all rights and permissions needed to submit and process each Input, including permission from identifiable people where required, and that our permitted processing will not infringe another person's rights or breach law. Do not submit confidential, sensitive or personal information unless it is necessary and you are authorised to do so.

6. Outputs and Licences

"Output" means material generated or transformed for you through the Service. As between you and Oxi Studios, we do not claim ownership of your Output, except for our pre-existing software, templates, fonts, branding, stock assets or other materials embedded in it. To the extent we hold rights needed for you to use an Output, we grant the following non-exclusive, worldwide licence:

  • Free plan: personal, non-commercial use only.
  • Pro plan: personal and commercial use, including using the Output in client work and manufacturing and selling end products.
  • Purchased Credits: buying credits does not upgrade the account's Output licence; the licence is determined by your plan when the Output is created.

These licence rules apply to Outputs created on or after the Effective Date above; an Output created earlier remains subject to the terms and licence in effect when it was created. You may not resell or distribute editable Output files as stock content, templates or competing digital assets unless the Service or a separate licence expressly allows it. A plan licence continues for Outputs lawfully created while that plan was active.

AI Outputs may be similar to content produced for others and may not qualify for copyright or other protection. You are responsible for reviewing an Output and obtaining legal clearance before commercial use, particularly where it contains brands, characters, artwork, designs or recognisable people. We do not promise that an Output is unique or non-infringing.

7. Digital Products and Oxi Materials

Digital products, marketplace items and Oxi-provided templates remain owned by Oxi Studios or the identified creator. Unless a product listing grants a commercial licence, a digital product purchase grants one purchaser a non-transferable licence for personal use. You must not share, sublicense, resell or redistribute the source or download file. Product-specific licence terms shown before purchase prevail over this default licence.

The Service, software, site design, branding, documentation and Oxi-created content are protected by intellectual property law. Except for the licences expressly granted in these Terms, no rights are transferred to you. Feedback may be used by us without restriction or payment, but we will not identify you publicly without permission.

8. Acceptable Use

You must not use the Service to:

  • break the law, facilitate fraud, threaten or harass people, or create unlawful discriminatory, defamatory or deceptive content;
  • create or share child sexual abuse material, sexual content involving a minor, non-consensual intimate imagery, or sexualised deepfakes;
  • impersonate a person, create misleading depictions of a real person without appropriate permission or disclosure, or violate privacy, publicity, copyright, trade mark or other rights;
  • upload malware, attack or bypass security, scrape the Service, overload systems, evade usage limits, or access another user's account or files;
  • reverse engineer the Service or attempt to extract models, prompts, source code or protected datasets, except to the limited extent a law does not permit that restriction;
  • use Output to make regulated, high-impact or professional decisions about a person without legally required safeguards and qualified human review; or
  • breach a third-party AI provider's applicable safety restrictions communicated through the Service.

9. Manufacturing and Professional Review

Generated STL, 3MF, SVG, font, embroidery, mould, cutter, lightbox, box and similar files are design aids, not engineering, medical, safety or other professional advice. Before manufacture or sale, you must inspect dimensions and geometry, run appropriate tests, use suitable materials and equipment, and comply with applicable safety, product, labelling and intellectual property laws. Previews and automated validation reduce risk but do not guarantee that a file is safe, watertight, printable or fit for a particular machine or purpose.

Where we offer human model-revision services, the agreed brief, included revision count, supported file types and delivery estimate shown in the Service or confirmed in writing apply. You must inspect and approve the final file before manufacture.

10. Moderation, Suspension and Termination

We may use automated and human review to detect misuse. We may reject or remove content and restrict an account where we reasonably believe this is necessary to protect users, third parties or the Service, comply with law, investigate fraud or address a breach of these Terms.

We may immediately suspend access for serious or repeated breaches, security threats, fraud, unlawful conduct or non-payment. For other remediable breaches, we will ordinarily give notice and a reasonable opportunity to fix the issue. You may contact us to request review of an enforcement decision.

You may stop using the Service and delete your account at any time. Ending an account does not automatically cancel an active Stripe subscription, so cancel the subscription first. On account closure, Free and Membership Credits end. Purchased Credits will not be confiscated solely because you cancel a subscription; if we permanently discontinue the paid credit service or close an account without user fault, we will provide a fair remedy for unused Purchased Credits. We may withhold a refund to the extent reasonably necessary to address fraud, chargebacks or unlawful conduct.

11. Privacy and Third-Party Services

Our Privacy Policy explains how we handle personal information and send content to infrastructure, payment, email and AI providers, some of which are overseas. Third-party services can impose technical limits or experience outages. Their terms do not replace these Terms as between you and Oxi Studios.

12. Availability and Changes to the Service

We do not guarantee uninterrupted availability. We may perform maintenance, introduce limits, replace providers, or modify or retire features for security, legal, technical or commercial reasons. We will give reasonable notice where a material change adversely affects an active paid service, unless urgent action is needed for security, legal compliance or circumstances outside our reasonable control. Where required by law, we will provide an appropriate refund, re-supply or other remedy.

13. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, including under the Australian Consumer Law. Our services come with guarantees that they will be provided with due care and skill, be fit for a disclosed purpose, and be supplied within a reasonable time where no time is agreed, to the extent those guarantees apply.

For a major service failure, an eligible consumer may cancel the service contract and obtain a refund for the unused portion or compensation for reduced value, and may be entitled to compensation for reasonably foreseeable loss. For a non-major failure, we are entitled to an opportunity to rectify the problem within a reasonable time.

14. Disclaimers and Liability

Subject to section 13, the Service is provided on an "as available" basis. We exclude warranties and conditions that may lawfully be excluded. You remain responsible for backing up important files and for decisions made using Inputs or Outputs.

To the maximum extent permitted by law, neither party is liable to the other for indirect or consequential loss that was not reasonably foreseeable. This does not exclude liability for fraud, wilful misconduct, death or personal injury caused by negligence, breach of confidentiality or privacy obligations, infringement of the other party's intellectual property, or liability that cannot lawfully be limited.

Where you acquire the Service wholly or mainly for business purposes and liability can lawfully be limited, our aggregate liability arising from the Service is limited to the greater of the amount you paid us for the affected Service in the 12 months before the event and US$100.

15. Your Responsibility for Claims

To the extent permitted by law, you indemnify Oxi Studios against a third-party claim arising directly from an Input that you did not have the right to submit, or your deliberate unlawful use of the Service. This does not apply to the extent the claim was caused by our breach, negligence or wilful misconduct. We must promptly notify you and take reasonable steps to mitigate loss, and you may participate in the defence of the claim.

16. Changes to These Terms

We may update these Terms for changes to the Service, law, security or our business. We will post the updated Terms and date above. We will give account holders reasonable advance notice by email or an in-service notice of a material change that adversely affects an active paid service. Urgent legal or security changes may take effect sooner.

If you do not agree to a material change, you may cancel before it takes effect. Continued use after the effective date signifies acceptance only to the extent permitted by law. Changes do not retrospectively alter a completed purchase.

17. Complaints and Disputes

Please first contact us with your account email, relevant order or job details and the outcome you seek. We will try to resolve the issue in good faith. Nothing in this section prevents either party from seeking urgent relief or using a consumer regulator, tribunal or court available under law.

These Terms are governed by the laws of Victoria, Australia. Subject to any non-excludable right to bring proceedings elsewhere, the parties submit to the courts and tribunals of Victoria and the Commonwealth of Australia.

18. General

If part of these Terms is unenforceable, it will be read down or severed to the minimum extent necessary and the remainder continues. A delay in enforcing a right is not a waiver. You may not assign your account or these Terms without our consent. We may assign these Terms as part of a genuine business restructure or transfer if this does not materially reduce your rights. Sections intended by their nature to continue—including licences for existing Outputs, payment obligations, intellectual property, liability and dispute terms—survive termination.

These Terms, the Privacy Policy, product-specific licence terms and the plan or checkout details shown to you form the agreement for the Service. If they conflict, product-specific terms control for that product, followed by checkout or plan details, then these Terms.
